CRO Late filing of Annual Returns

The CRO have instigated legal proceedings against companies who file late, These companies can face fines in the District Court of up to €2,500 plus costs for each summons in addition to the normal CRO late filing penalties. Be warned

Any Company, or a Director of any company, which is even one year behind in filing its Annual Returns and accounts can potentially be Summonsed. The severity of the enforcement measures employed by the CRO relate directly to a company’s annual return compliance history for the previous years.

The level of fines is at the complete discretion of the Judge on the day however, Judges do appear to be influenced by factors such as:

• whether the Annual Returns have been filed since the issue of the summons
• whether the accused is represented in court
• any reasonable explanation for the non-filing
• any expressions of regret for the non-filing
